LEGAL FRAMEWORK / DRAFT FOR COUNSEL
Terms.
Last updated September 17, 2026. This framework is not legal advice and should be reviewed by qualified Canadian counsel.
Service and order formation
The Branding Co. provides AI visibility measurement, website evidence analysis, brand intelligence, recommendations, implementation support and monitoring as described in the selected order. Before payment, the checkout identifies the service, price and currency and gives the customer an opportunity to correct the order. The order is accepted when payment succeeds, subject to any written scope conditions disclosed at checkout.
Fees and delivery
Prices are shown in Canadian dollars unless stated otherwise. The Branding Co. is not currently registered to collect GST/HST, so GST/HST is not added at checkout. The Visibility Audit is a one-time purchase. Its target delivery is within 10 business days after both payment and complete onboarding, unless a different timeline is disclosed in writing. A written order confirmation is sent electronically.
Monitoring and recurring charges
Selecting interest in Visibility Monitor does not create a subscription or authorize a recurring charge. Monitoring is offered separately after the audit. Any subscription requires separate affirmative authorization that clearly identifies the price, billing frequency, renewal terms and cancellation method before the first recurring charge.
Refunds and cancellation
The Refund & Cancellation Policy is incorporated into these Terms. It explains when work begins, refund eligibility, subscription cancellation and how to request help. Nothing in these Terms limits non-waivable rights under applicable consumer-protection law.
No ranking guarantee
AI responses vary by model, query wording, geography, personalization, source availability and time. Scores measure standardized observations and do not guarantee placement, citation, recommendation, traffic, leads or revenue.
Customer responsibilities
Customers must supply accurate information, have authority to submit the relevant websites and materials, review recommendations, and approve consequential changes. Customers remain responsible for legal, professional and regulatory review of published content.
Acceptable use
The service may not be used for deceptive manipulation, fabricated reviews or authority signals, impersonation, unlawful surveillance, spam, rights infringement or attempts to bypass platform controls.
Confidentiality, data and ownership
Each party will protect the other’s confidential information using reasonable safeguards. Customers retain their pre-existing materials. The final agreement must define ownership and permitted use of reports, methodology, generated deliverables and aggregated or de-identified learnings.
Liability and disputes
Qualified counsel must finalize warranties, disclaimers, indemnities, limitation of liability, governing law, venue and dispute procedures appropriate to the operating entity and customer market.
